This Terms of Use Agreement represents the criterion for using the LiveChatAgent.com live chat software, website, and live chat operator service, hereafter referred as LCA. The service is provided by EZD Consulting Inc, an Ontario Canada Corporation. By using LCA, (the “Visitors and Clients”) agree to be legally bound by these terms and conditions without limitation. If you do not agree to the terms and conditions herein, you should immediately stop all usage of this website, software, and live chat operator service. We reserve the right to modify or update at any time the terms and conditions of this Agreement without notice. Modifications shall be effective immediately upon being posted on the livechatagent.com website. Your continued use of the Service after modifications are posted on this site constitutes acceptance of this Agreement and its modifications. This Agreement may not be altered or amended, except as provided in this paragraph.

EZD Consulting Inc provides live chat software and/or live chat agents. Clients must provide FAQs and other information so our agents can offer proper sales and support for clients website.
2. Disclaimer of Warranties
The site and service is provided by EZD Consulting Inc on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, EZD Consulting Inc makes no representations or warranties of any kind, express or implied, regarding the use or the results of this website, software, and live chat operator service in terms of its accuracy, correctness, reliability, or otherwise. EZD Consulting Inc shall have no liability for any interruptions or misrepresentations in the use of this website, software or live chat operator service. 4. Indemnification
Clients and Visitors agrees to indemnify and hold harmless EZD Consulting Inc, its parents, affiliates, subsidiaries, employees, and officers from any demand or claim, including reasonable attorneys’ costs and fees, made by a third party stemming from the Clients or visitors use of the Service, the violation or infringement by a Client or visitor of this Agreement, or other user of the Service using clients or visitors computer, of any person or entity’s rights or intellectual property.
5. Modifications and Interruption to Service
EZD Consulting Inc reserves the right to modify or discontinue the Service to the client or visitor with or without notice. EZD Consulting Inc shall not be liable to client or any third party if EZD Consulting Inc exercises its right to modify or discontinue the Service. Client recognizes and concedes that EZD Consulting Inc cannot guarantee continuous, uninterrupted or secure access to our website, software, and live chat operator service and that our website, software and live chat operator services may be experience interference or adverse affects by many factors or circumstances that are beyond our control.
6. Third-Party Sites and Services
Our website, software and live chat operator service may include links to other Internet sites that are owned and operated by online merchants or other third parties. We also may use various software companies for the Live Chat Software or , at times, may utilize third parties for our operator services. Member acknowledges that we are not liable for the availability of any third-party site or service, nor is EZD Consulting Inc responsible for the content located on or through any third-party site or service.
Our company is operated in Ontario, Canada. As such, EZD Consulting Inc is subject to the laws of Ontario Canada. Such laws will govern this Terms of Use, without giving effect to any choice of law rules. We make no representation that our website, software and live chat operator service or other services are available, legal, or appropriate for use in other locations. By accessing our site, you hereby agree to access it subject to the internal laws of Ontario Canada.
7. Compliance with Laws
Clients and visitors assume all knowledge of applicable law and is solely responsible for complying with these laws. Clients and visitors may not use the Service in any way that violates applicable federal, state, or international laws, government requirements or regulations. Clients and visitors further agrees not to transmit any material that encourages conduct construed as a criminal offense, leads to civil liability or violates any applicable international, national, state, or local, law or regulation.
8. Botnets
EZD Consulting Inc retains the right, at our sole discretion, to terminate accounts that use botnets or engage in any botnet-related activities. If any hostnames are used as command and control points for botnets, EZD Consulting Inc reserves the right to direct the involved hostnames to a loopback address, logging facility, honeypot, or any destination of our choosing.
9. Other Terms
If any condition of this Agreement is deemed unenforceable, unlawful, or void for any reason, the other conditions (and any partially-enforceable provision) will remain unaffected and shall be valid and enforceable to the maximum extent under the law. Member agrees that this Terms of Use Agreement and any other agreements referenced herein may be reassigned by EZD Consulting Inc, at our sole discretion, to a third party in the event of an acquisition or merger. This Terms of Use Agreement shall apply in addition to, and shall not be superseded by, any other written agreement between us in relation to your activities as a Client or Visitor. By accepting this Terms of Use Agreement, Clients and visitors agrees to the disclosure and use of their personally identifiable information and other practices described in our Privacy Policy Statement.
